1. Introduction
These Terms and Conditions ("Terms") govern your use of the Gigoe mobile application, website, and related services (collectively, the "Platform") operated by Gigoe Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at Plot No. 38, Kale Lay Out, GODHANI ROAD, ZINGABAI TAKLI, Mankapur (Nagpur), Nagpur - 440030, Maharashtra, India ("Gigoe", "we", "us").
By accessing or using the Platform, you ("User", "you") agree to be bound by these Terms. If you do not agree, do not use the Platform.
2. Definitions
- "Worker" — a User who registers on the Platform to offer skilled or semi-skilled short-term services to Job Providers.
- "Job Provider" or "Provider" — a User (individual or business) who posts a request for services on the Platform.
- "Job Post" — a specific service request created by a Provider through the Platform.
- "Wallet" — a virtual balance held in a User's Provider account within the Platform, funded by the Provider to pay Platform fees.
- "Platform Fee" — the fee Gigoe charges the Provider for facilitating a match, deducted from the Wallet when the Provider confirms a Worker for a Job Post.
- "Verified User" — a User who has successfully completed identity verification via the DigiLocker integration.
3. Nature of Service
Gigoe operates a two-sided marketplace that facilitates connections between Workers and Job Providers. Gigoe is not an employer of Workers, is not a party to any agreement between a Worker and a Job Provider for the underlying services, and does not hold or transfer any payment for services rendered between Worker and Provider.
Gigoe's role is limited to: (a) enabling User registration and identity verification; (b) matching Job Posts to eligible Workers via the Platform's dispatch service; (c) charging Platform Fees for successful matches; and (d) providing operational support.
Direct payment between Worker and Provider
Payment for the actual services performed by a Worker is made directly by the Provider to the Worker, outside the Platform. Gigoe does not act as an escrow, payment aggregator, or intermediary for the service payment itself. The only monetary flow through the Platform is the Provider's Wallet top-up (funding) and the Platform Fee deduction from the Wallet.
4. Eligibility
4.1 Workers
- Workers must be at least 14 years old (the minimum legal working age under the Child Labour (Prohibition and Regulation) Amendment Act, 2016).
- Each service skill on the Platform carries a minimum age (14, 18, or 21) that reflects applicable child-labour rules. Workers may only be dispatched to skills for which they meet the minimum age.
- Workers must complete identity verification via DigiLocker before being dispatched to a Job Post.
4.2 Job Providers
- Providers must be legally capable of entering into binding contracts under Indian law.
- No age restriction applies to persons who request a service via the Platform.
- Business Providers must be duly registered under applicable Indian law.
5. Account Registration and Verification
- Registration requires a valid Indian mobile number and phone-based one-time password (OTP) verification.
- Users are responsible for maintaining the confidentiality of their account credentials and for all activity under their account.
- Identity verification via DigiLocker is required for Workers before dispatch, and optional but recommended for Job Providers to establish trust.
- Users must provide accurate information at registration. Providing false or misleading information is grounds for suspension or termination.
6. Wallet and Platform Fee
6.1 Provider Wallet
- Job Providers maintain a Wallet within the Platform, funded via UPI (through Gigoe's authorised payment aggregator, Razorpay).
- The Provider is required to maintain a minimum Wallet balance sufficient to cover the applicable Platform Fee for any Job Post they wish to create.
- Wallet balances do not earn interest and cannot be transferred to any other User.
6.2 Platform Fee
- The Platform Fee is calculated as a percentage of the Provider's stated job payment amount and varies by service category. Current rates are within the range of 10% to 20% and are displayed to the Provider before Job Post creation.
- The Platform Fee is deducted from the Provider's Wallet at the moment the Provider confirms a Worker for the Job Post — not at Job Post creation, and not on Job completion.
- Gigoe reserves the right to revise Platform Fee rates with prior notice through the Platform.
7. User Obligations
7.1 Job Providers
- Pay Workers the agreed service amount directly and promptly upon completion of the requested work.
- Provide accurate Job Post details (location, timing, scope, payment offered).
- Treat Workers with respect and provide reasonable working conditions.
- Not use the Platform to solicit Workers outside the Platform after a Platform-facilitated match.
7.2 Workers
- Perform accepted Jobs in accordance with the Job Post's stated scope.
- Only accept Jobs for skills for which they meet the applicable minimum age and, where applicable, have relevant experience.
- Comply with applicable laws and safety requirements for the type of work performed.
- Not solicit further work from a Provider outside the Platform after a Platform-facilitated match.
8. Prohibited Uses
Users must not, in connection with the Platform:
- Post or accept Jobs that are illegal under Indian law;
- Post or accept Jobs that violate the Child Labour (Prohibition and Regulation) Act, 2016 or that involve hazardous work by a Worker under the minimum age for that skill;
- Impersonate another person, misrepresent identity, or share account credentials with a third party;
- Use automated means (bots, scripts) to interact with the Platform;
- Interfere with, disrupt, or compromise the security or integrity of the Platform;
- Use the Platform to harass, threaten, defame, or discriminate against any User;
- Circumvent the Platform Fee by soliciting Users to transact outside the Platform after a Platform-facilitated match.
9. Suspension and Termination
Gigoe may, at its sole discretion, suspend or terminate a User's access to the Platform, with or without prior notice, on any of the following grounds:
- Breach of these Terms;
- Failure to complete or maintain required identity verification;
- Fraudulent, harmful, or unlawful activity;
- Ten (10) or more consecutive failed login attempts (automatic account lock for ops portal users; re-verification required for other Users);
- Court or regulatory order.
A User may voluntarily terminate their account at any time by written notice to contact@gigoe.in. Termination triggers deletion of personal data in accordance with the Privacy Policy.
10. Limitation of Liability
To the maximum extent permitted by Indian law:
- Gigoe is a marketplace facilitator and is not liable for the quality, timeliness, safety, or lawfulness of services provided by any Worker to any Provider, or for the conduct of any User.
- Gigoe is not liable for indirect, consequential, incidental, or special damages, including loss of profits, business interruption, or loss of data.
- Gigoe's aggregate liability arising from or related to a User's use of the Platform in any 12-month period shall not exceed the total Platform Fees paid by that User to Gigoe in the preceding 12 months, or INR 2,500, whichever is higher.
- Nothing in this clause limits liability for gross negligence, wilful misconduct, or any liability that cannot be excluded under applicable law.
11. Indemnification
Users agree to indemnify and hold harmless Gigoe, its directors, employees, and affiliates from and against all claims, damages, losses, and expenses (including reasonable legal fees) arising out of: (a) the User's breach of these Terms; (b) the User's violation of any applicable law; (c) the User's negligence or wilful misconduct; or (d) any dispute between the User and another User arising from a Platform-facilitated match.
12. Intellectual Property
All content on the Platform — including the Gigoe name, logo, mobile application, website, dispatch algorithm, and related materials — is the intellectual property of Gigoe Private Limited and protected under applicable Indian law. Users are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purpose.
13. Dispute Resolution and Governing Law
- These Terms are governed by and construed in accordance with the laws of India.
- Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably between the parties within thirty (30) days.
- Unresolved disputes shall be referred to arbitration by a sole arbitrator appointed by Gigoe, conducted in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Nagpur, Maharashtra; the language shall be English.
- Subject to arbitration, the courts of Nagpur, Maharashtra shall have exclusive jurisdiction.
14. Changes to these Terms
Gigoe reserves the right to modify these Terms at any time. Material changes will be notified through the Platform. Continued use of the Platform after such notification constitutes acceptance of the revised Terms.
